Terms of Service

These Terms of Service set out the rules for using Senissa and form a binding agreement between you and us. Please read them carefully, and reach out to legal@senissa.com if anything is unclear.
1. Agreement to these terms
These Terms of Service (the "Terms") govern your access to and use of the Senissa compliance-automation platform, including our websites, applications, and related services (together, the "Service"). By creating an account, signing an order, or otherwise using the Service, you agree to be bound by these Terms.
If you are entering into these Terms on behalf of a company or other organization, you represent that you have the authority to bind that entity, and "you" and "your" refer to that entity. If you do not agree to these Terms, you may not use the Service.
2. The Service and eligibility
Senissa provides software that helps organizations manage, automate, and monitor their compliance obligations. Specific features, usage limits, and support levels available to you depend on the plan or order you have purchased, and we may add, change, or remove features over time.
To use the Service you must be at least 18 years old and capable of forming a binding contract. The Service is intended for business use, not for personal, household, or consumer purposes. You are responsible for ensuring that your use of the Service complies with any laws and regulations that apply to you.
3. Accounts and security
You will need an account to use most of the Service. You agree to provide accurate information when registering and to keep that information up to date. You are responsible for all activity that occurs under your account and for the actions of any users you invite or authorize.
You must keep your login credentials confidential and take reasonable steps to protect your account, including using strong authentication where available. Please notify us promptly at legal@senissa.com if you believe your account has been compromised or accessed without authorization.
4. Acceptable use
You agree to use the Service only for lawful purposes and in line with these Terms. You must not misuse the Service, including by attempting to gain unauthorized access, interfering with its normal operation, probing or scanning its systems, or circumventing any usage limits or security controls.
You also agree not to upload malicious code, use the Service to store or transmit unlawful or infringing content, resell or provide the Service to third parties except as permitted by your order, or reverse engineer, copy, or create derivative works from the Service except to the extent this restriction is prohibited by law. We may suspend access that we reasonably believe violates this section.
5. Customer data and privacy
As between you and us, you retain all rights to the data and content you and your users submit to the Service ("Customer Data"). You grant us the limited rights needed to host, process, and transmit Customer Data in order to provide and support the Service, and to improve and secure it in accordance with these Terms.
We handle personal information in line with our Privacy Policy and any applicable data processing terms. You are responsible for ensuring you have the necessary rights and consents to submit Customer Data to the Service. For privacy questions or requests, contact us at privacy@senissa.com.
6. Fees and payment
You agree to pay the fees for the Service as set out in your order. Unless your order says otherwise, fees are quoted exclusive of taxes, are payable in advance, and are non-refundable once the applicable period has begun.
If you do not pay amounts when due, we may suspend the Service after giving you reasonable notice, and overdue amounts may accrue interest as permitted by law. Any usage-based or overage charges will be billed according to your order and our then-current rates.
7. Intellectual property
The Service, including its software, design, text, and the Senissa name and logos, is owned by us or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription and in accordance with these Terms.
We reserve all rights not expressly granted to you. If you send us feedback or suggestions about the Service, you agree that we may use them without restriction or obligation to you.
8. Confidentiality
Each party may receive non-public information from the other that is marked or reasonably understood to be confidential ("Confidential Information"). The receiving party agrees to use the other party's Confidential Information only to perform under these Terms and to protect it with at least the same care it uses for its own confidential information.
Confidential Information does not include information that is or becomes public through no fault of the receiving party, was already known to it without a duty of confidentiality, or is independently developed. Either party may disclose Confidential Information where required by law, giving reasonable notice where permitted.
9. Warranties and disclaimers
We will provide the Service with reasonable skill and care and in line with any service levels stated in your order. Senissa is a tool to support your compliance program; it does not constitute legal, regulatory, or professional advice, and you remain responsible for your own compliance decisions.
Except as expressly stated in these Terms, the Service is provided "as is" and "as available," and we disclaim all other warranties, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet every requirement you may have.
10. Limitation of liability
To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to these Terms or the Service.
Each party's total aggregate liability arising out of or relating to these Terms will not exceed the fees you paid or owed for the Service in the twelve months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law, such as for fraud or willful misconduct.
11. Term and termination
These Terms apply for as long as you use the Service or have an active order. Either party may terminate for convenience at the end of the then-current subscription term as described in your order, and either party may terminate for a material breach that is not cured within a reasonable period after written notice.
On termination, your right to use the Service ends and you should export any Customer Data you wish to keep before your account is closed. We may make Customer Data available for export for a limited period after termination, after which we may delete it. Provisions that by their nature should survive termination, such as those on fees owed, confidentiality, and liability, will continue to apply.
12. Governing law and changes to these terms
These Terms are governed by the laws of the jurisdiction stated in your order, or where no jurisdiction is stated, by the laws applicable at our principal place of business, without regard to conflict-of-law rules. The courts of that jurisdiction will have exclusive authority over any disputes, subject to any mandatory rights you have under local law.
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, for example by posting the updated Terms with a new effective date or contacting you. Your continued use of the Service after the changes take effect means you accept the updated Terms.
